Acceptance of These End User Terms of Service
These End User Terms of Service (as amended from time to time, these "Terms") govern your access to and use of products and services made available by Candle Finance Inc. ("Candle," "we," "us," or "our") for individuals and other end users, including Candle's websites, hosted authorization flows, desktop and mobile applications, account-linking tools, agent tools, software, and related features and functionality (collectively, the "Service"). For purposes of these Terms, "you" means the individual using the Service.
Candle allows you to link an application or agent that you use (the "Primary App") to another application, account, or service for which you have an account (the "Connected App"). Through Candle, you may access information from Connected Apps and may instruct Connected Apps to take actions, such as retrieving account information, sending messages, sending or receiving money, booking transportation, viewing transactions, placing or cancelling orders, updating billing information, or performing other supported workflows.
By accessing or using the Service, creating or using a Candle account, linking a Connected App, authorizing a Primary App, or instructing Candle to transmit information or actions to a Connected App, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
We may change these Terms from time to time. If we do, we will update the date above and may provide additional notice in a manner we believe is reasonably likely to reach you. Your continued use of the Service after changes become effective constitutes your acceptance of the updated Terms.
Eligibility
You may use the Service only if you are at least the age of majority where you live and can form a binding contract with Candle. The Service is not intended for children. You may link only Connected Apps and accounts that you own or are otherwise authorized to access and control.
Accounts, Security, and Authorization
You are responsible for maintaining the confidentiality and security of your Candle account, your device, your Primary App, your Connected App accounts, and any credentials, authentication codes, recovery codes, passcodes, or other information used to access them. You are responsible for all activity that occurs through your Candle account, Primary App, device, or Connected App accounts, whether or not you authorized that activity. You agree to notify Candle promptly if you believe that your Candle account or any linked account has been accessed or used without authorization.
When you link a Connected App or provide credentials, session information, challenge responses, two-factor authentication codes, consent tokens, or other account information, you authorize Candle to use, store, process, and transmit that information as necessary to provide the Service, maintain the connection, respond to your requests, and support security and compliance. Some features may allow you or a Primary App to grant ongoing or delegated permissions. You are responsible for understanding the permissions you grant and for revoking or limiting them when you no longer want the applicable access or action to be available.
You may unlink a Connected App through the Primary App, through Candle where available, or by contacting the applicable Primary App or Connected App. Unlinking may not cancel, reverse, or otherwise affect actions already submitted to a Connected App.
Your Instructions and Actions
Candle acts as a technology provider that helps transmit your information and instructions between the Primary App and the Connected App. When you submit, approve, confirm, or otherwise authorize an instruction through the Service, you authorize Candle to transmit that instruction and related information to the applicable Connected App. You are solely responsible for the accuracy, completeness, legality, and consequences of the information and instructions you submit or approve.
Candle may provide quotes, previews, summaries, suggestions, status information, or other information before an action is submitted. This information may be delayed, incomplete, inaccurate, unavailable, or later changed by the Connected App or another third party. You should independently review important information before approving any action. Candle does not guarantee that any action will be accepted, executed, completed, cancelled, reversed, or completed on the expected terms.
You acknowledge that the Connected App, not Candle, is responsible for providing the underlying goods, services, accounts, payment rails, transportation, messaging, brokerage, exchange, marketplace, banking, or other functionality involved in your action. Your relationship with each Connected App is independent of your relationship with Candle and is governed by the agreements, policies, fees, limits, and rules of that Connected App.
Third-Party Services
The Service depends on and may provide access to third-party products, services, websites, applications, APIs, models, infrastructure, payment processors, and other resources (collectively, "Third-Party Services"). Third-Party Services include Connected Apps and may also include Primary Apps, AI service providers, payment processors, app stores, hosting providers, analytics providers, and communication providers.
Candle does not control Third-Party Services and is not responsible for their availability, reliability, security, accuracy, content, policies, fees, decisions, or actions. Candle's integration with or reference to a Third-Party Service does not imply any affiliation, sponsorship, approval, endorsement, or recommendation. You are responsible for complying with the terms, policies, and laws that apply to your use of Third-Party Services, and you are responsible for any charges, fees, taxes, penalties, losses, disputes, or obligations arising from your use of Third-Party Services.
Payments, Plans, and Credits
Some features of the Service may be free, while others may require a paid subscription, paid plan, usage credits, or other fees. If you purchase a paid plan or otherwise provide payment information, you represent that the information you provide is accurate and that you are authorized to use the payment method. You authorize Candle and its payment processors to charge your payment method for applicable fees, taxes, renewals, usage charges, and other amounts due.
Candle may use third-party payment processors, including Stripe, to process payments. Payment processing services are provided by those processors and may be subject to their own terms and privacy policies. Candle does not process card, bank account, or similar payment credentials directly except as made available through its payment processors.
Plans, features, credit amounts, credit usage, pricing, renewal periods, and billing responsibility may vary based on whether you pay directly or a Primary App or other customer pays on your behalf. Candle may change pricing, plans, credits, or included features from time to time. Unless otherwise required by law or expressly stated in writing by Candle, fees are non-refundable and credits have no cash value.
Financial, Brokerage, Payment, Transportation, and Messaging Features
The Service may support workflows involving money movement, payment applications, bank or card accounts, brokerage accounts, cryptocurrency accounts, rides, transportation, rentals, travel, social accounts, messages, friend requests, feeds, and other personal services. Candle is not a bank, money transmitter, payment processor, broker-dealer, investment adviser, exchange, transportation carrier, travel provider, communications carrier, social network, or provider of any Connected App.
Nothing in the Service is an offer to buy or sell, a solicitation of an offer to buy or sell, or a recommendation or endorsement of any security, cryptocurrency, financial product, payment, ride, trip, merchant, recipient, counterparty, service, strategy, or transaction. Candle does not provide legal, tax, accounting, financial, investment, payment, transportation, or safety advice. You are solely responsible for deciding whether any action is appropriate for you based on your own circumstances, objectives, risk tolerance, and obligations.
All investments and financial transactions involve risk, including loss of principal. Activity through the Service is not insured by the FDIC, SIPC, or any other insurance program merely because you accessed it through Candle. You should consult qualified professionals where appropriate.
Acceptable Use
You agree that you will not, and will not assist or permit any other person to:
- use the Service for any unlawful, fraudulent, abusive, deceptive, harmful, harassing, or unauthorized purpose;
- link, access, or control any account that you do not own or are not authorized to use;
- submit false, misleading, inaccurate, or unlawful information or instructions;
- interfere with, disrupt, overload, damage, or compromise the Service or any Third-Party Service;
- bypass, disable, remove, or undermine any security, consent, rate limit, access control, authentication, authorization, or content-protection measure;
- reverse engineer, decompile, disassemble, scrape, crawl, copy, modify, or create derivative works of the Service except to the extent applicable law prohibits this restriction;
- use the Service to develop, train, or improve a competing product or service;
- transmit malware, harmful code, spam, or other disruptive material; or
- use the Service in a way that violates these Terms, applicable law, or the rights of Candle, another user, or any third party.
Privacy and Data
Candle's handling of personal information is described in the End User Privacy Policy. When you use Candle's website or interact with Candle as a developer, business customer, prospect, or business partner, Candle's Website Privacy Policy may also apply.
You are responsible for the information, content, instructions, credentials, account data, and other materials that you provide, authorize, or make available through the Service ("User Data"). You represent that you have all rights and permissions needed for Candle to process User Data as contemplated by these Terms and our applicable privacy policies. You grant Candle a non-exclusive, worldwide, royalty-free license to host, process, transmit, reproduce, display, and otherwise use User Data as necessary to provide, maintain, secure, support, develop, and improve the Service; comply with law; enforce these Terms; prevent fraud, abuse, or security incidents; and create aggregated, anonymized, or de-identified information.
Intellectual Property and Feedback
The Service, including Candle's software, technology, design, trademarks, logos, and other content, is owned by Candle or its licensors and is protected by intellectual property and other laws. Subject to these Terms, Candle grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Service for your personal, non-commercial use or as otherwise expressly permitted by Candle.
The Candle name and logos are trademarks and service marks of Candle. Other product, company, and service names and logos may be trademarks or service marks of their respective owners. Nothing in these Terms grants you any right to use Candle's trademarks or any third-party trademarks without the applicable owner's prior written permission.
If you provide questions, comments, suggestions, ideas, feedback, reviews, or other information about the Service ("Feedback"), you agree that Candle may use and disclose that Feedback for any purpose without restriction, attribution, or compensation to you.
Modifications, Suspension, and Termination
Candle may modify, suspend, discontinue, or restrict the Service or any feature of the Service at any time, with or without notice. Candle may suspend or terminate your access to the Service if Candle believes that you have violated these Terms, created risk for Candle, another user, or a third party, used the Service unlawfully or abusively, or if Candle otherwise decides to discontinue your access.
You may stop using the Service at any time. Certain provisions of these Terms will survive termination, including provisions relating to Third-Party Services, payments owed, intellectual property, disclaimers, indemnification, limitation of liability, dispute terms, and general terms.
Disclaimer
THE SERVICE AND ALL DATA, INFORMATION, QUOTES, PREVIEWS, SUMMARIES, SUGGESTIONS, OUTPUTS, AND OTHER MATERIALS MADE AVAILABLE THROUGH THE SERVICE ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, CANDLE DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, SECURITY, AVAILABILITY, ACCURACY, RELIABILITY, AND ERROR-FREE OR UNINTERRUPTED OPERATION.
CANDLE DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS; THAT ANY CONNECTED APP OR THIRD-PARTY SERVICE WILL BE AVAILABLE, SECURE, ACCURATE, OR RELIABLE; THAT ANY ACTION WILL BE ACCEPTED, COMPLETED, CANCELLED, OR REVERSED; OR THAT ANY DATA OR INFORMATION PROVIDED THROUGH THE SERVICE WILL BE COMPLETE, CURRENT, OR ERROR-FREE.
Indemnification
You agree to defend, indemnify, and hold harmless Candle, its affiliates, and its and their respective officers, directors, employees, service providers, licensors, and agents (collectively, the "Candle Parties") from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to your use of the Service, your User Data, your instructions or actions, your use of any Third-Party Service, your violation of these Terms, your violation of applicable law, or your violation of the rights of any third party.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE CANDLE PARTIES WILL NOT BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOST GOODWILL, LOST DATA, SERVICE INTERRUPTION, COMPUTER DAMAGE, SYSTEM FAILURE, COST OF SUBSTITUTE SERVICES, OR ANY SIMILAR DAMAGES, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF A CANDLE PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE CANDLE PARTIES' TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID CANDLE FOR THE SERVICE IN THE SIX (6) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).
Some jurisdictions do not allow certain disclaimers or limitations of liability. In those jurisdictions, the foregoing disclaimers and limitations apply only to the maximum extent permitted by law.
General
These Terms, together with any terms incorporated by reference, constitute the entire agreement between you and Candle governing your access to and use of the Service and supersede any prior agreements between you and Candle regarding the Service. You may be subject to additional terms when you use Third-Party Services or features made available by a Primary App or Connected App.
These Terms are governed by the laws of the State of New York without regard to conflict of law principles. With respect to disputes or claims not subject to another binding dispute process agreed in writing by you and Candle, you and Candle submit to the personal and exclusive jurisdiction of the state and federal courts located in New York, New York.
If any provision of these Terms is found invalid or unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in full force and effect. Candle's failure to enforce any provision of these Terms is not a waiver of that provision. You may not assign these Terms without Candle's prior written consent, but Candle may assign or transfer these Terms, in whole or in part, without restriction. The section titles in these Terms are for convenience only and have no legal or contractual effect. Notices to you may be made by email, in-product notice, push notification, posting through the Service, or other electronic means.
